GENERAL TERMS OF USE OF THE ONLINE STORE AT WWW.WESTWING.HR

The following are our General Terms and Conditions (hereinafter "Terms and Conditions") which apply to the use of Westwing (online) as well as for personalised interior design advice (Westwing Design Services) from the shop on the website www.westwing.hr. By submitting an order, you accept the following General Terms and Conditions of Westwing GmbH, Moosacher Str. 88, 80809 Munich, Germany (hereinafter "Westwing"). Contact details are available in Article 16. SERVICES AND COMPLAINTS.

These General Terms and Conditions apply to consumers with a billing address in Croatia who use our website. For the purposes of these General Terms and Conditions, a consumer is any natural person who acts on the market outside the scope of their trade, business, craft or professional activity.

1. GENERAL PROVISIONS AND SCOPE

1.1 Westwing operates an online store on the website www.westwing.hr.

1.2 To use the offers available on the website, persons must be over 18 years of age.

1.3 As a rule, goods and services are sold only in quantities that are customary for households.

1.4 These General Terms and Conditions apply to all contracts concluded via the website www.westwing.hr, unless the B2B General Terms and Conditions for Business Users apply.

1.5 If (working) days are stated as deadlines, this refers to all working days except Saturday, Sunday and public holidays, in both the country (the country in which the Westwing merchant is located) and Croatia.

2. USE OF THE WWW.WESTWING.HR WEBSITE AND REGISTRATION

2.1 When placing an order, you will be asked to provide personal information that will be collected and processed in accordance with the Westwing Privacy Policy. Please see article 19 of these General Terms and Conditions.

2.2 You are responsible for the completeness and accuracy of the data. You are also obliged to keep your data up to date. If there is a change in the data you have provided during your use of the website, you must correct the information immediately. You are obliged to keep your passwords and other access data confidential and protect them from access by unauthorized third parties.

2.3 You are solely responsible for the content (such as product reviews) that you publish in the sections made available for this purpose. You guarantee that your own content does not infringe or violate the rights of third parties (e.g. personality rights or copyrights). In this regard, you will fully indemnify Westwing against all claims by third parties upon first request. By submitting content to Westwing, you grant Westwing and all affiliated companies of the Westwing Group (hereinafter referred to as the “ Westwing Group ”) all non-exclusive and unrestricted rights of use in terms of time, space and content, as well as for transmission to third parties, which Westwing requires for the publication and distribution of the content, even in part, on the Westwing Group’s websites.

2.4 In your user account you can view and, if necessary and where possible, modify your open, recently sent and/or completed orders, as well as manage and store your data, vouchers, flyers and notifications separately.

2.5 You can register with only one user account in the store on the website www.westwing.hr and you can use only one user account at a time. If Westwing detects multiple registrations, Westwing may delete them.

2.6 It is prohibited to use the website www.westwing.hr or its content for illegal or abusive purposes or for purposes prohibited by these General Terms and Conditions. In particular, it is not permitted to interfere with or manipulate technical processes. In the event of unjustified behavior or attempts to gain unjustified advantages to the detriment of Westwing or other customers, Westwing reserves the right to block the user account and not accept orders.

2.7 Westwing reserves the right to enforce its virtual house rules at its own discretion and, for example, to issue warnings, refuse orders, limit available payment methods, suspend or terminate access to the website www.westwing.hr or the user account or remove uploaded content if the provisions of these General Terms and Conditions are violated or if there is an abuse of rights. Your right to unilaterally terminate the contract in accordance with Article 12 shall not be limited in any way by the measures set out above. This shall not affect Westwing's claims for damages.

3. CONTRACTING PARTIES, LANGUAGE AND CONCLUSION OF THE CONTRACT

3.1 The contracting party when concluding a contract on the website www.westwing.hr is Westwing.

3.2 The website www.westwing.hr operates in the Croatian language. Contracts via the website are concluded exclusively in the Croatian language.

3.3 Once the selected products and services have been placed in the virtual shopping cart and the electronic ordering process has been completed, you submit a legally binding contractual offer by submitting an order for the goods and services in the virtual shopping cart by clicking on the “Pay now” button when using a credit card or other direct payment method in the shopping cart or by clicking on “Complete order with payment obligation” in the case of deferred payment. After submitting your offer, you will receive an email from Westwing confirming receipt of your offer. This email from Westwing does not constitute acceptance of the offer and the conclusion of a contract. Westwing decides whether to accept the offer. If Westwing does not accept the offer, Westwing will inform you immediately. The contract is concluded via a separate email with confirmation of dispatch of the goods.

3.4 Westwing stores the order data and sends it to you by email after placing the order. This email also contains the cancellation policy. You can download the general terms and conditions at any time at https://www.westwing.hr/i/terms_and_conditions/ . If you have created a user account before placing the order, you can always view your order data in the login section. This also applies to previous orders within the scope of legal retention obligations.

3.5 Order processing and contact are usually carried out via an automated order processing process or via email. You must ensure that the email address you provide for order processing is correct, so that emails sent by Westwing can be received at that address. Especially if you use spam filters, you must ensure that all emails sent by Westwing or third parties engaged by Westwing to process your order can be delivered.

4. PRICES AND DELIVERY COSTS

4.1 For orders of goods on the website www.westwing.hr , the prices specified on the page with details of the corresponding product at the time of ordering apply. Prices are total prices including VAT and packaging. Shipping costs are added.

4.2 The prices of the products in your virtual cart will always correspond to the current price on the product details page. This means that the current price of the product may differ from the price at which you added the product to your virtual cart. When you add a product to your virtual cart, you do not reserve the price displayed at that time. The price of the product may increase or decrease between the time you add the product to your virtual cart and the time you actually purchase it.

4.3 Shipping costs are charged separately for each order and are based on the price stated on the product detail page. This depends, among other things, on the size, weight and appropriate shipping method. The latter is determined at Westwing's sole discretion.

5. TERMS AND METHODS OF PAYMENT

5.1 You can pay for goods and services using one of the following payment methods: Paypal, credit card (VISA, Mastercard, American Express), Apple Pay, Google Pay (available only when ordering via a web browser).

5.2 Westwing accepts several credit cards, currently: VISA and Mastercard as well as American Express. Westwing will charge your credit card upon receipt of your order via our payment service provider Stripe Payments Europe Ltd, 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Ireland (a company registered in the Irish Register of Companies under number 3206488LH).

5.3 In the event that ApplePay or GooglePay (for orders via a web browser only) is selected as the payment method, the payment will be processed through our payment service provider Stripe Payments Europe Ltd (a company registered in the Irish Register of Companies under number 3206488LH).

5.4 If a payment method offered by PayPal is selected, the payment will be processed through the payment service provider PayPal (Europe) S.à rl et Cie, SCA, 22-24 Boulevard Royal, L-2449 Luxembourg (company registered in the commercial register under number RCS Luxembourg B 118 349), in accordance with the PayPal User Agreement, available at https://www.paypal.com/en/legalhub/paypal/useragreement-full.

6. WESTWING DESIGN SERVICE

6.1 Through the Westwing Design Services, Westwing offers personalised interior design advice via the website www.westwing.hr (hereinafter "Westwing Design Service(s)" or "Service"). These General Terms and Conditions apply to these services in general, unless otherwise stated below.

6.2 The services are provided online via video chat or a screen-sharing video conference, in one of Westwing's physical stores or, in the case of Westwing Design Services Deluxe, partly on-site. The specific Westwing Design Services offered in your country can be found on the website.

6.3 The services are provided by Westwing or a Westwing subcontractor.

6.4 As part of the Westwing Design services, you will receive a professional interior design concept based on the information you have provided, together with a personalised shopping list. The exact scope of the services and the corresponding costs for the individual Westwing Design services are listed on the website www.westwing.hr in the Design Service section.

6.5 Westwing reserves the right to refuse Westwing Design services or their provision if you have provided inaccurate information about the rooms or if you are acting in a manner that is unlawful, contrary to public order or contrary to these General Terms and Conditions.

6.6 Westwing reserves the right to cancel appointments for the provision of the service up to 12 hours before the agreed appointment time in circumstances beyond Westwing's control (e.g. force majeure) and will notify you in advance. In the event of an appointment cancellation, you will be offered a new appointment or a refund if a new appointment cannot be arranged. You may also postpone the scheduled appointment free of charge up to 12 hours before the appointment time. In this case, Westwing will offer you an alternative appointment, subject to availability.

6.7 Once the final service has been provided as part of the booked Westwing Design services, the contractual relationship for that specific Westwing Design service automatically terminates. If you wish for the Westwing Design services to be redesigned or rearranged, you must book a new Westwing Design service via the website.

6.8 The copyrights and other intellectual property rights relating to the interior design concepts and room layouts conceived by Westwing and/or created as part of the Westwing Design Services are the exclusive property of Westwing. Westwing grants you non-exclusive, perpetual and non-transferable rights to the services provided as part of the Westwing Design services for your personal use.

Commercial or public use is permitted only with the prior written consent of Westwing. Westwing has the right, with your prior consent, to use the results of the Westwing Design Services for advertising purposes (e.g. as design examples on the website).

6.9 You are responsible for providing Westwing with any information and documents (e.g. floor plans) that may be relevant to the provision of the service.

7. ISSUING INVOICES

7 .1 By accepting the General Terms and Conditions, you agree that Westwing will send you an invoice by electronic means or make it available to you electronically, in accordance with Article 232 of Council Directive 2006/112/EC and the relevant provisions of the Croatian Value Added Tax Act. (Official Gazette of the Republic of Croatia , 73/2013, 99/2013, 148/2013, 153/2013, 143/2014, 115/2016, 106/2018, 121/2019, 138/2020, 39/2022, 113/2022, 33/2023, 114/2023, 35/2024, as amended).

7 .2 Please note that if your details are not accurate in accordance with Article 2.2 at the time of ordering, we are unable to issue a correction invoice to amend your details once your order has been completed.

8. VOUCHERS

8 .1 Westwing offers different types of vouchers: Gift Vouchers and Fee Vouchers:

8 .1.1 Gift Vouchers

8 .1.1.1 Gift vouchers are vouchers that can be purchased in-store and used only on www.westwing.hr, unless otherwise stated on the voucher. The gift voucher will be sent to you by email after the order has been placed.

8 .1.1.2 Gift vouchers and any remaining balance can be redeemed until the end of the third year after the year of purchase.

8 .1.1.3 Gift vouchers may only be used to purchase goods and services, and not to purchase other gift vouchers.

8 .1.1.4 If the value of your order exceeds the gift voucher amount, you may pay the difference using the available payment methods. If the value of your order is less than the gift voucher amount, the remaining balance can be used on your next order.

8 .1.1.5 In the event of contract cancellation for any reason, the purchase price will be refunded to the voucher account and to any additional payment method used at the time of purchase.

8 .1.1.6 The gift voucher is transferable.

8 .1.1.7 Lost vouchers, particularly stolen vouchers, will not be replaced. Westwing accepts no liability for the loss of voucher codes.

8 .1.2 Compensation vouchers

8 .1.2.1 Compensation vouchers are vouchers that cannot be purchased, but are issued by Westwing at its sole discretion as compensation without admitting any legal obligation.

8 .1.2.2 The gift voucher rules apply mutatis mutandis.

8 .2 Westwing may, in the event of justified suspicion of fraud or other activities contrary to law or to the terms applicable in connection with the purchase or redemption of vouchers, block the relevant voucher code (also temporarily) or refuse the redemption of the voucher (also temporarily). In the latter case, you have the right to cancel the order.

8 .3 It is not possible to cash the voucher amount, nor to transfer its value or apply it as credit towards purchases already made, i.e. before the order process is completed.

8 .4 The vouchers in question may only be obtained by consumers.

9. DELIVERY AND SHIPPING TERMS

9 .1 Deliveries will only be made within Croatia to the delivery address you have provided.

9 .2 The basic delivery times are communicated to you on the details page for the relevant product.

9 .3 The ordered goods will be sent as a parcel or by a carrier at Westwing's discretion.

9 .4 Westwing does not assume any additional procurement risk, particularly in the case of the purchase of generic products. Westwing is obliged to deliver the goods to the customer from its own stock or to procure the goods from the supplier. Westwing's obligation to deliver the goods to the customer does not apply if the goods are not delivered, are not delivered in full, or are not delivered on time to Westwing, despite an existing covering transaction with the respective supplier, and Westwing is not responsible for this delay or issue with the supplier. In such a case, Westwing will inform you immediately. If the supplier fails to deliver to Westwing, you acknowledge that Westwing does not assume any obligation to procure the goods. Westwing will refund any advance payments made by the customer.

9 .5 Westwing shall not be liable for the non-performance or improper performance of its obligations under this agreement if and to the extent that this is the result of a force majeure event, notwithstanding that Westwing will do everything in its power to minimise the consequences of such an event.

Force Majeure means any unforeseeable event or events which, even if foreseeable, are beyond Westwing's control and the effect of which on the performance of the contract could not have been avoided by reasonable efforts on Westwing's part. This includes, but is not limited to, war, warlike conditions, strike, insurrection, military or civil coup, rebellion, riot, embargo, government orders, fire, flood, storm surge, hurricane or other severe weather events of a catastrophic nature, earthquake, lightning strike, pandemic, epidemic, nuclear hazard or a similar cause that is beyond Westwing's control and which makes the fulfilment or performance of the obligations governed by these General Terms and Conditions illegal, impossible or commercially unfeasible. If a force majeure event occurs, Westwing shall be obliged to inform you of it immediately. Westwing is released from its performance obligation for the duration of the event. Delivery and performance deadlines are extended accordingly. If the force majeure event lasts for more than 2 weeks from the scheduled delivery date, both Westwing and you have the right to terminate the contract.

9 .6 If the delivery of goods fails for reasons for which you are responsible, Westwing will charge you the costs of a new delivery as well as reasonable storage costs from the date of the failed delivery. You will be charged for a new delivery even if the first delivery was free of charge for you. We will inform you of the additional costs before the redelivery and will only proceed with the delivery with your consent. Please note that refusing to accept the delivery does not constitute an effective exercise of your right to unilaterally terminate the contract, which must be exercised by means of a clear statement to Westwing, as provided for in Article 11. Westwing reserves the right to terminate the contract if you do not accept the new delivery within 7 days. In this case, Westwing will refund any payments already made. This also applies if you exercise your right to unilaterally terminate the contract. In that case, the delivery costs (standard delivery) will also be refunded to you.

10. LIABILITY FOR DEFICIENCIES AND DAMAGE DURING TRANSPORT

10 .1 Unless otherwise stated in the following provisions, the provisions of the statutory liability for defects as laid down in the Croatian Law on Obligatory Relations, Articles 399a – 422a, shall apply.

10 .2 In the case of a contract for the supply of second-hand goods, the following limitation applies: the limitation period for claims for defects is one year from the delivery of the goods.

10 .3 to the extent permitted by applicable law, Westwing's liability is limited to cases of intent and gross negligence on the part of Westwing.

10 .4 The above limitations and exclusions of liability under clause 10 .3 do not apply if the material defect was known to Westwing or could not have remained unknown to Westwing, or if Westwing has given a commercial warranty for the goods, as described in clause 10.

10 .5 If the goods are delivered with obvious damage to the packaging or contents, please lodge an immediate complaint with the relevant carrier and contact Westwing's customer service (service@westwing.hr). This notice does not affect your rights under statutory law regarding liability for material defects.

11. COMMERCIAL WARRANTY

An additional commercial warranty is only available if expressly stated and described on the product detail page.

12. CONSUMER'S RIGHT TO UNILATERALLY TERMINATE THE CONTRACT

You may unilaterally terminate the contract within fourteen (14) days without giving any reason. The period for unilateral termination is fourteen days from the day on which you or a third party designated by you, who is not the carrier, have taken possession of the goods that are the subject of the contract.

In order to exercise your right to unilateral termination, you must inform us of your decision to unilaterally terminate the contract by an unequivocal statement (e.g. by e-mail or letter sent by post). You may use the following model form for unilateral termination of the contract, which is not mandatory:

In order to comply with the deadline, it is enough to send a notice of unilateral termination of the contract before the expiration of the deadline for exercising the right to unilateral termination of the contract.

You can also exercise your right of withdrawal online via https://www.nshiftreturns.com/ui/widget/redirect?marketId=f8936bf3-9b90-410f-8d79-33c3389a4146&lang=hr-HR. If you use this online function, we will immediately send you, on a durable medium (e.g. by email), a confirmation of receipt containing details of the content of the withdrawal notice, as well as the date and time of its receipt.

13. CONSEQUENCES OF UNILATERAL TERMINATION OF THE CONTRACT

If you have unilaterally terminated the purchase contract, we will reimburse to you all payments we have received from you, including delivery costs, without undue delay and at the latest within fourteen (14) days from the day on which we receive notification of the unilateral termination of the contract. For the reimbursement, we will use the same means of payment that you used for the original transaction, unless otherwise expressly agreed with you. In no case will you be charged for this reimbursement. We may refuse the reimbursement until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier.

You must return the goods immediately, and in any case within fourteen (14) days from the day on which you inform us of your unilateral termination of the contract to the following address. The return address depends on the carrier who delivered the goods:

The deadline is met if you send the goods back before the fourteen-day deadline has expired. We will bear the costs of returning the goods, provided that the goods are returned in accordance with our returns instructions described here. You will only be liable for any diminished value of the goods resulting from handling of the goods that goes beyond what was necessary to establish the nature, characteristics or functioning of the goods.

The right to unilaterally terminate the contract does not exist for the exceptions listed in Article 86 of the Croatian Consumer Protection Act, in particular when (i) the subject of the contract is goods that are made to the consumer's specifications or that are clearly adapted to the consumer (ii) the subject of the contract is sealed goods that are not suitable for return due to health or hygiene reasons, if they were unsealed after delivery.

14. ADDITIONAL RIGHT TO RETURN GOODS

14 .1 For all purchases of goods, Westwing grants you an additional right of return for a total period of 30 days from receipt of the goods, as a supplement to and independent of the statutory right of unilateral withdrawal from the contract under Article 13 of the . This additional right of return granted by Westwing allows you to cancel the purchase agreement even after the 14-day period for the statutory right of withdrawal (see Article 13 of the ) by returning the goods to Westwing within 30 days of receipt.

However, if you exercise this additional right of return after the 14-day period for exercising the statutory right of withdrawal has expired, the prerequisite for using the additional right of return is that you return the entire goods, in perfect condition and without damaging the original packaging. Otherwise, Westwing reserves the right to refuse the return. Please note that when returning goods under the additional right of return, you bear the risk of transport if you do not collect the product yourself (depending on the delivery method). The additional right of return does not apply to the purchase of gift vouchers.

14 .2 The refund will be issued to the original payment method.

14 .3 Your statutory right to cancel the contract (see clause 13 ) is not subject to the requirements set out in this clause 13 and applies independently of them. Until the expiry of the period for the statutory right of withdrawal, only the statutory conditions for exercising the right of withdrawal apply. This contractual (additional) right of return does not limit your claims under statutory provisions for material defects or a commercial warranty, where applicable.

15. COMPENSATION OF DELIVERY AND SERVICE COSTS IN THE EVENT OF PARTIAL RETURN OF GOODS

If you terminate the contract for only part of the goods in the order (partial termination), Westwing will refund you the payments for the returned goods, including delivery costs. However, if (part of) the delivery costs would have been incurred even if you had ordered only the goods for which you did not unilaterally terminate the contract, the full delivery costs will be excluded from the refund.

16. RETENTION OF OWNERSHIP

The goods remain the property of Westwing until full payment has been made.

18. LINK DISCLAIMER

To the extent that www.westwing.hr refers to websites of other providers via links, Westwing has no influence on their content, does not promote them as its own and assumes no liability or responsibility for their content. The respective provider or operator of the pages is always responsible for the content of the pages. As soon as Westwing becomes aware of legal violations of the websites of other providers, the corresponding links on www.westwing.hr will be removed immediately.

For all questions regarding the protection of your data, you can view Westwing's privacy policy at https://www.westwing.hr/i/privacy_policy/.

20. USE RIGHTS

The content of this website, including text, graphics, photographs, illustrations, images, videos, sounds and software (hereinafter referred to as: " material ") is protected by copyright. Downloading or use for personal use is permitted. Publication, transmission, reproduction or any other use of the content/material is not permitted.

All rights to use the materials on www.westwing.hr belong to Westwing or our partners. Use of the materials, in any form, without the express written permission of Westwing is prohibited.

All trademarks used on the website may not be used without the prior written permission of Westwing.

21. ALTERNATIVE DISPUTE RESOLUTION

In accordance with Article 14(1) of Regulation (EU) No 524/2013 on online dispute resolution for consumers (the “ Regulation on Online Dispute Resolution for Consumers ”), we inform you that the European Commission offers a platform for online dispute resolution in accordance with Article 14(1) of the Regulation on Online Dispute Resolution for Consumers. This information is provided for informational purposes and Westwing is neither willing nor obligated to participate in dispute resolution proceedings before alternative dispute resolution bodies.

22. CHANGES TO GENERAL TERMS AND CONDITIONS

Westwing reserves the right to change the website and these terms and conditions at any time. Your order will be governed by the terms and conditions in effect at the time you place your order, unless a change to these terms and conditions is required by law or government regulation.

23. FINAL PROVISIONS

23 .1 Any dispute arising from or in connection with the use of the website www.westwing.hr shall be governed by the laws of the Republic of Croatia, excluding its conflict of law rules.

23 .2 If any provision is invalid or ineffective, the remaining provisions shall remain valid. In place of the invalid or ineffective provisions, the relevant statutory provisions shall apply.
